Filing paperwork is a commodity. Dozens of agencies in Dubai will do it, competently, for a modest fee. The part that is actually worth paying for is the half day before the paperwork, where three decisions are made that you will live with for years: jurisdiction, activity codes, and shareholding structure.
Jurisdiction determines where you may sell. Founders discover this when a UAE customer asks for a mainland supplier, or when a free zone company needs a distributor to do what it assumed it could do directly. Changing jurisdiction later is not an amendment — it is a new company, with a new bank account and new visas.
Activity codes determine what you may invoice for and what your bank believes about you. Too narrow and you amend the licence at the first adjacent piece of work; too scattered and compliance treats the file as unclear. This is the single cheapest decision to get right and one of the more expensive to get wrong.
Structure — who holds the shares, whether a holding company sits above the operating entity, whether a partner joins later — is trivial to arrange at formation and awkward afterwards, because moving shares means pricing them, approvals and fees. If there is any chance of an investor or a second founder, the structure should anticipate it on day one.
Our process runs those three first, in writing, and only then files. You get the reasoning, not just the outcome, because you are the one who has to live with it when your business changes.
How we run it
1 · Discovery
What you sell, to whom, in which countries, and who holds the shares. No forms yet.
2 · Written recommendation
Jurisdiction, activity codes and structure, with the reasoning and the trade-offs stated.
3 · Quote with every line
Including authority fees and what is not included. Before anything is filed.
4 · Filing
Name, approval, memorandum, licence, establishment card — run in the dependency order.
5 · People
Visa chain and medical insurance, for every person on the file at once.
6 · Trading
Accounting, invoicing, payments and the bank file — started in parallel, not afterwards.
Why this is worth more than a cheaper filing fee
An activity amendment, a jurisdiction change or a share transfer each cost more than the difference between the cheapest and the most careful formation quote in Dubai. One avoided mistake pays for the whole engagement.
The same reasoning is what a bank's compliance team is looking for. A file where the activity, the customers and the money flow tell one consistent story is approved; one where they do not is asked questions for months.
We write the recommendation down. You can take it to a lawyer, to your accountant or to another agency and check it — which is the point of writing it down.
Where a decision needs a lawyer, a notary, a tax adviser or an auditor, we say so and bring one in. We are not a substitute for a lawyer or a tax adviser, and we will not pretend to be.
Questions we get asked
Can I skip the discovery and just file?
You can, and it is cheaper today. The three decisions get made either way — the only question is whether they get made deliberately or by default.
What if my business changes?
Then the structure chosen on day one is what decides whether that is an afternoon or a new company. That is exactly what we optimise for.
Do I get the reasoning in writing?
Yes. A recommendation you cannot check is not a recommendation.
Who makes the final decision?
You do. We give you the trade-offs, in writing, in plain language.
Spend the half day before the paperwork
Bring us the business, not the form. The output is a written recommendation on jurisdiction, activity and structure that you can check with anyone.
